1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Treffortly ("we," "us," or "our") governing your access to and use of our services.

By creating an account, accessing our website, or using any of our platforms, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not use our services.

2. Description of Services

Treffortly provides a suite of AI-powered productivity tools accessible through a unified authentication system:

2.1 Unified Authentication

One account (auth.treffortly.com) provides access to all platforms. Your credentials, subscription, and preferences are shared across the entire Treffortly ecosystem.

3. Account Registration

3.1 Eligibility

To create an account, you must:

• • Be at least 13 years old with verifiable parental consent
• • Be at least 18 years old to create an account independently
• • Have the legal capacity to enter into a binding contract
• • Not be barred from using our services under applicable law

3.2 Account Information

You agree to:

3.3 Account Security

3.4 One Account Per User

Each user may maintain only one active account. Your account is personal and non-transferable. You may not sell, rent, or share your account credentials with others.

4. Subscription & Billing

4.1 Pricing Tiers

Each platform offers a Free tier and a Pro tier:

4.2 Payment Processing

All payments are processed securely through Stripe, a PCI DSS Level 1 certified payment processor. By subscribing, you agree to Stripe's terms of service.

4.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless canceled. You will be charged on the renewal date using your payment method on file.

4.4 Cancellation Policy

• ✓ Cancellation stops future billing immediately
• ✓ You retain access until the end of your current billing period
• ✓ No charges after cancellation

4.5 Refund Policy

4.6 Free Trials

If we offer free trials, terms will be specified at sign-up. You must cancel before the trial ends to avoid charges. We will send a reminder email before the trial expires.

4.7 Price Changes

We reserve the right to change pricing with 30 days advance notice via email. Price changes will not affect your current billing period. Continued use after the notice period constitutes acceptance of new pricing.

4.8 Taxes

Prices do not include applicable sales tax, VAT, or other government-imposed fees. You are responsible for all taxes associated with your subscription.

5. User Content & Intellectual Property

5.1 Your Content Ownership

You retain ownership of all content you create on our platforms, including:

• • Tasks, projects, and to-do lists (Task Manager)
• • Markdown documents and notes (Markdown Editor)
• • Financial data and budget settings (Finance Tracker)

5.2 License to Treffortly

By uploading or creating content on our platforms, you grant Treffortly a limited, non-exclusive, royalty-free license to:

• ✓ Store, process, and display your content to provide our services
• ✓ Make backups and copies necessary for service delivery
• ✓ Process content through third-party AI services for feature functionality (e.g., writing suggestions, task recommendations)

This license exists solely to provide our services and terminates when you delete your content or account.

5.3 AI Training Policy

All aspects of our service, including but not limited to:

• • Platform design, UI/UX, and features
• • Source code and algorithms
• • Documentation and content

...are owned by Treffortly and protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-transferable, revocable license to use our services subject to these Terms.

5.5 Content Responsibility

You are solely responsible for the content you create and share. We do not pre-screen user content but reserve the right to remove content that violates these Terms or applicable law.

6. Acceptable Use Policy

6.1 Illegal Activities

• ✗ Illegal content or activities that violate laws in your jurisdiction
• ✗ Promoting violence, terrorism, or hate speech
• ✗ Child exploitation or endangerment
• ✗ Copyright or trademark infringement

6.2 Abusive Behavior

• ✗ Spam, unsolicited marketing, or phishing
• ✗ Impersonation of individuals or organizations
• ✗ Creating fraudulent accounts or bypassing payment

6.3 Technical Abuse

• ✗ Scraping, crawling, or automated data collection
• ✗ Reverse engineering, decompiling, or disassembling our software
• ✗ Circumventing security measures or access controls
• ✗ Excessive API calls or denial-of-service attacks
• ✗ Interfering with other users' access to the service

6.4 Consequences of Violation

Violation of this Acceptable Use Policy may result in:

• • Permanent account termination without refund

7. AI Features & Disclaimers

7.1 AI-Powered Features

Our platforms use artificial intelligence to provide:

Finance Tracker is not a financial advisor. Spending insights, budget forecasts, and subscription recommendations are automated suggestions based on your data. They are not personalized financial advice. Consult a qualified financial professional for investment, tax, or financial planning decisions.

7.4 No Liability for AI Outputs

We are not liable for any losses, damages, or consequences arising from your reliance on AI-generated suggestions, recommendations, or content.

8. Third-Party Services

8.1 Stripe Integration

Payment processing is handled by Stripe. By using our billing features, you agree to:

8.2 Finance Tracker - Stripe Connection

Finance Tracker requires connecting your Stripe account to track subscriptions. Treffortly accesses subscription data through Stripe's API. We do not store your credit card details or full payment information.

Our services may contain links to third-party websites or services. We are not responsible for the content, policies, or practices of third parties. Use of third-party services is at your own risk.

8.4 No Endorsement

Integration with third-party services (like Stripe) does not constitute an endorsement, representation, or warranty. You are responsible for reviewing third-party terms before using integrations.

9. Service Availability

9.1 No Uptime Guarantee

Services are provided "AS IS" without guarantee of uninterrupted access. We do not promise 100% uptime.

9.2 Maintenance and Downtime

We may:

• • Experience unexpected downtime
• • Temporarily suspend service for security or technical reasons

9.3 Right to Modify

10. Limitation of Liability

SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

10.2 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TREFFORTLY IS NOT LIABLE FOR:

• ✗ Service interruptions, downtime, or access issues
• ✗ Errors in AI recommendations or content
• ✗ Third-party actions (Stripe, AI providers, etc.)
• ✗ Unauthorized access resulting from compromised credentials
• ✗ Financial losses from Finance Tracker insights or recommendations
• ✗ Indirect, incidental, consequential, special, or punitive damages
• ✗ Lost profits, revenue, or business opportunities

10.3 Liability Cap

Our total liability to you for any claims arising from your use of Treffortly is limited to:

The amount you paid to Treffortly in the 12 months preceding the claim, or $100 USD (whichever is greater).

10.4 EU Consumer Rights Exception

Nothing in these Terms limits your statutory consumer rights under EU law, including rights to conformity, remedies for defective services, or liability for personal injury or death caused by our negligence.

10.5 Backup Responsibility

You are responsible for backing up your data. We maintain backups for disaster recovery, but we do not guarantee data recovery and are not liable for data loss.

11. Indemnification

You agree to indemnify, defend, and hold harmless Treffortly, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• • Your violation of these Terms
• • Your violation of third-party rights (copyright, trademark, privacy, etc.)
• • Your violation of applicable laws or regulations

This indemnification obligation survives termination of your account.

12. Dispute Resolution

These Terms are governed by:

12.2 Informal Resolution

12.3 Arbitration (US Users)

For disputes exceeding $10,000, US users agree to binding arbitration under the American Arbitration Association (AAA) rules. Arbitration will be conducted remotely unless both parties agree to an in-person hearing.

Exception: Either party may file in small claims court for disputes under $10,000.

12.4 EU Users - Court Jurisdiction

EU users have the right to bring legal action in the courts of their country of residence or habitual residence. Nothing in these Terms waives your access to local courts.

12.5 Class Action Waiver

You agree to resolve disputes on an individual basis only. Class actions, class arbitrations, or representative proceedings are not permitted (US users only).

13. Account Termination

13.1 Termination by You

You may terminate your account at any time by:

Upon deletion, your data will be removed within 30 days as described in our Privacy Policy.

13.2 Termination by Treffortly

We may suspend or terminate your account:

• • With 30-day notice: For any reason, including discontinuation of service
• • Without refund: For violations of Acceptable Use Policy or payment disputes

13.3 Effect of Termination

Upon termination:

• • Your access to all platforms is revoked immediately
• • Outstanding payments remain due
• • No refunds for early termination (unless required by law)
• • Data retention follows our Privacy Policy (30-day grace period)
• • License to use our services terminates

13.4 Survival

Provisions regarding intellectual property, indemnification, limitations of liability, and dispute resolution survive termination.

14. Changes to These Terms

14.1 Right to Modify

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices.

14.2 Notification of Changes

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.3 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to a successor entity in connection with a merger, acquisition, or sale of assets.

15.4 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Treffortly and supersede any prior agreements or understandings.

15.5 Force Majeure

We are not liable for delays or failures in performance caused by events beyond our reasonable control (natural disasters, pandemics, wars, strikes, internet outages, etc.).
